After some more discuiiion , the question " ^ as put to the vote , and Mr . OCoanor declared to be unanimously elected Treasurer . The asnoncement was received yr ' vh loud cheers . Mr . O'Connor proposed Mr . James Leach , of Manchester , as a fit and proper person to BCTTe on the Executive , in doing so , Mr . O'Connor highly eulogiaed Mr . Leach for bis talents and patriotism . Mr . Donaldson seconded tfee nomination . Mr . D xon questioned if Mr . Leach could serve : not only tras he in the claws of the law , but he had a business to attend to , which required every attention : he had a young family to rear , and could not leave home . Chapter xii . —Section 1 was adopted , with a slight addition , on the motion of Mr . Shaw , seconded by Mr . Clarke . Clause 120 was expunged . Clauses 71 and 72 , which had been omitted , were agreed to , with some alterations , proposed by Mr . Morrison . M . Mason suggested a clause ' relative to any charges or disputes which might be brought against any of the officers of the Society . Messrs . Hobson and Wheeler showed that clause 66 already provided lot that case .
Mr . Mason stated that tbe clause did not meet his -views , and suggested that an appeal might be made from the Executive to the Convention , and ultimately to the arbitrators . The suggestion waa ultimately adopted . On the motion of Mr . Hobson , seconded by Mr . Liuton , Chapter 7 , Section 3 , relative to the power of borrowing monies , which had previously been expunged , was aga ;« restored to its original position , after a calm but determined opposition from Mr . Marsden . Mr . Morrison tbeu proposed that the Pian of Organisation , bb agreed to clause by clause , should be adopted . Mr . Dawhirst seconded the resolution , which was cairied with great -pplause . On the motion of Mr . Bairstow , seconded by Mr . M ^ son , Messrs . Morrison , Hobaon , and Wheeler , were appointed a Committee to arrange the Plan of Organization ready for publication , and procure its enrolment . Carried unanimously .

Mr . Mason , on the part of the Commit ee , read the address . Mr . Hobson moved , and Mr . Dixon seconded , " That the addreBsjast read bo received by this Conference and ordered to be printed . "—Carried unanimously . Mr . Wheeler said that he had received a Dumber of Chartist Circuinri from Mr . Cleave , as a present to the members of the Conference . Mr . Dixon moved " That the thanks of the Conference be given to Mr . Cleave for his present . ' Mr . Dewhurst seconded the motion , which was carried unanimously . A lengthy correspondence was then read from Mr . Cieave , containing the Balance Sheet of the Victim Fund , and tendering bis resignation as Us Treasurer . Mr . Wheeler moved , and Mr . Bairstow seconded , " That Mr . Cieave " s resignation be accepted , " which with a vote of tne Conference to him for his services , was agreed to .
After some discussion on the motion of Messrs . Dixon and Large , it was decided that to avoid a complicity ot Funds and Treasurers , it would be advisable to appoint tha General Treasurer , Mr . O'Connor , as Treasurer to the Victim Fund ; which met with tbe approbation of the majority of the Conference . Mr . Hobson moved •• that the Conference recomuiend the appointment of n Victim Fund Committee in Manchester by tbe Manchester Cbartuta , to whom application could be made for relief . ** On tbe inetion being seconded by Mr . Large , it waa agreed to .
Mr . Hobson moved , "That the General-Address-Committee be authorised to draw up an address , appealing to the country on behalf of the victima " Mr . Dxon seconded the motion , wbicb was agreed to . Mr . Ea : a brought before the Conference a suggestion as to whether it would not be advisable to houi simultaneous meetings in every part of the country , to memorialize the Queen in behalf of Frost , Williams , Jones and Eliis . It was finally ageeed to leave the matter in the hands of the Executive . Mr . Large said , tbere was a subject which he cansi dered tbo Conference ought to take up before it separated ; and that was to point out to the people tbe necessity of taking part in the municipal and parochial elections . He would , therefore , move the following resolution : —
"That , in the opinion of this Conference , it is highly desirable that the Chartist body should endeavour , by all means in their power , to choose such Hie to fill the various parochial arid municipal vfiiccB as wjuld assist in carrying out tbe principles of the Charter . Classes—Whenever the members of auy branch determine that it might conduce to the w « lf « e and advantage of the Branch to be divided into Classes , the Branch Board have hereby the power to constitute them of as many members as may be determined on , according to locality . 22 Duties of the District Council . —The District Council shall make arrangements for the district lecturer to lecture in each locality of the district , according to their best judgment ; they shall examine as to the fitness of any lecturer in their district applying to become district lecturer for tha society , and certify their opinion to toe Executive Committee : they shall examine , appoint ; , and suspend loo il lecturers ; see that their labours are suitably directed ; draw up regular plans for local lecturing ; asaist in superintending the arrangements fur places of meeting in tbe several branches ; or make the necessary air augments for taking aud occupying , a place on behalf of the whole district , where it is' determined to have j only one place of pubic meeting in the district , that operations may be concentrated . Executive Committee shall & a regular subscriber te the funds of the Socie « y , before , 0 * at the time , of taking office . 39 . Powers and duties . —The General Erecative Com * mittee shall direct and . control the general proceeding of the Society , for , and in the came ot the Society ; they shall see that tbe laws are obeyed , and that the various orders of the Convention are carried into effect ; they shall receive alt applications for Charters , and grant them where expedient ; they shall appoint general missionaries and lecturerers , when applied to
by the district councils , and certified of their fitness . They shall publish such tracts and other works as they may consider calculated to promote the objects of the Society , to tbe extent of a fund set apart for tbat purpose , by the Annual Convention ; they shall summon the Annual , and a Special Session of Convention when necessary as provided by the laws ; but in the latter case * they shall be unanimous ; and generally tkey shall take the most efficient means in tbeir power to promote th * dissemination of the principles , and tbeir application to practice .
CHAPTER IV .-SPECIAL AND GENERAL DUTIES OF OFFICERS . SECTION I . — P 3 ESIDENTS . 40 . Duties—The President of the society shall take the chair during the sittings of the Convention ; and he shall preside at the meetings of the General Executive Committee at which he may be present The Presidents shall only have a casting vote . The Prasident of the society shall be tbe active superintending officer of the society . The Presidents pt the districts councils shall preside at the meetings of such councils : the Presidents of each Branch Board shall preside at the meetings of tbe branch or of tbe board at wbicb he is present . Each chairman shall superintend the business ot the Branch or Board of which he is chairman , aud regularly authenticate the minutes , as entered and confirmed in the minute book .
41 . Casual Chairman . —If at the bour at which the business of auy meeting should commence tbe President should be absent , the directors , managers , or members present at such meeting respectively snail elect a chairman for the occasion .
SECTION II SECRETARIES . 42 . General Duties . —The secretary of each board , council , or committee , shall perform the following duties : — ( 1 . ) He shall attend at all meetings of the board , council , or committee , of which be is secretary . ( 2 ., Ha ? ball record correctly the names of the members there present , and keep tbe minutes of the proceedings in a book provided for that purpose . { 3 . ) He shall keep all tbe accounts , documents , and
papers of tbe board , council , or committee , in such form , manner , and place , and for such use , as tbe laws require , or board may appoint . ( 4 . ) He shall , under tbe direction of the board , council , or committee , conduct its correspondence , and transact all business committed to him by the laws . ( 5 ) Each Branch Secretary shall , in the first place , receive ail monies payable to the board , of which be is secretary , and pay over the same to tha treasurer , after defraying such expences as may be directed .
43 . Tbe General and District Secretaries shall keep a book , or books , in which shall be entered correct copies or impressions of all cffi . ial letters despatched by them . Such books shall have their pages numbered , and an alphabetical table of contents , of subjects and persons , made out quarterly . Each secretary shall also keep all official letters received by him , and arrange them monthly according to their dates . Such copies and letters to be deposited in such place as the several committees may direct . 44 , Resignation of General Secretary , —It the general secretary should wish to resign , he shall give the General Executive Committee three monkhs' notice , or pay a sum equal to tbe three months' salary . If bis services should be dispensed with , tbe like notice shall be given , or the like amount of money bs paid .
45 . Suspension and Dismissal . —Should any Branch , or District Secretary neglect bis duties , or conduct himself iu a manner likely to be injurious to tbe interests ot the Society , the branch board may suspend him until bis case is decided on fey tbe members of the branch . Tbe District Secretary may be , suspeuded and dismissed by tbe District Council . The General Secretary may be suspended from bis office by the General Executive Committee for neglect of duty , or injurious conduct ; and if such Secretary do not give notice of his intention to apDeal against such suspension to the
arbitrators hereafter provided , withm seven days after such suspension , bis dismissal shall follow as a matter of course . Whenever a vacancy thus occurs in the office of General Secretary , it shall be notified in tbe official organ of tbe Society , and nominations required from tbe branches , to be sent in within ten days after such notification . A list of such noniinatiosn shall be forwarded to each member of the General Convention , who shell return bis decision within three days to tbe General Executive Committee , as to which of tbe persons on the lint he votes for to fill the vacancy .
SECTION III . —TREASURERS . 46 . —Duties—The Treasurer of each Board , Council , or Committee , shall have the charge of all subscriptions and other monies paid to the Secretary ; and he shall pay all monies authorised by the resolutions of the board , council , or committee , on an order signed by not less than three of its members ; and bis books shall be a check on the Secretary of the board , council , or committee . A duplicate , or abstract thereof , kept by the Secretary , and authenticated by the Treasurer , shall be laid before each council or committee meeting . He shall balance bis accounts quarterly , and supply the Secretary with an abstract thereof , and shall , if required , attend the meetings of the board , council , or committee . He shall also pay over the various funds as provided under the beads of " Funds" and "Returns ; " be shall also give such security for the funds placed in his bands as the committee , council , or board , may require .
SECTION IV . —TRUSTEES . 47 . Duties . —The trustees of the society for the time being , may , by the direction of the General Executive Committee , purchase land , buildings , implements , and other things which may be required for tbe purposes of the society . Tht-y may also buy , sell ont , or transfer stock when and as directed by the General Executive Committee . Tbe trustees shall , when required , execute a declaration of trust of all tbe stock , funds , or property standiug and being in tbeir names belonging to the society . 48 Neglect . —If any trustee of * the society , at any time for a period of fourteen days , neglect any of the duties requited of him , tbe directors may suspend sucb trustee , and appoint another in bis place .
SECTION V . —GENERAL AUDITORS . 49 . Powers . —Every auditor Bhall have access , at any time , for the purpose of inspection , to all the books , papers , deeds , and documents whatsoever , necessary to the due performance of bis duties . Any general auditor , in the execution of bis duties , may call for the production of the books and papers of any branch or uiutrict . 50 . Dulks of General Auditors—The general accounts of the bocittty shall be audited at least quarterly , by the auditors of th « accounts ot the General Executive Oommittec
51 . Duties of District and Branch Auditors . — Dis . 'rict and Branch auditors anal ! look over ttie oooks of the branch or district to which they belong , at least twice a quarter ; anrt , at the end of the quarter , report to tbe general meeting of members the condition m which they flad the books at that time . They are not to confiue their attention to a mere adding up of the accounts ; but satisfy tbemstjlves as to the correctness uf each Hem , by calling for explanation aud vouchers whenever there is tho least doubt . It will also be tceir duty to report immediately t <* the branch , whenever they discover auy , the slightest defalcation ; or a departure from the strict rules of business and order .
